eduMe AI Features Addendum

This AI Features Addendum (“AI Terms”) supplements the applicable Terms of Service, or other agreement in place between Customer and eduMe governing access to and use of the Service (“Agreement”). Capitalized terms not defined here have the meanings given in the Agreement.
1. Applicability & Scope
These AI Terms apply only to eduMe’s AI-powered features, which relate to creating, optimising, distributing and personalising learning content, as well as reporting on usage and outcomes, including but not limited to:
- Admin panel:
- Media library (advanced search, suggestions)

- Content creation (conversion of existing assets, e.g., PDFs into courses and guides)

- Content enhancement (improving existing training content)
- Content enhancement (improving existing training content)
- Learner tools:
- Ask AI (retrieving answers and links from eduMe and connected external sources)
- Ask AI (retrieving answers and links from eduMe and connected external sources)
All other terms of the Agreement remain unchanged.
2. Definitions
- AI Features: Any eduMe service functionality that uses artificial intelligence or machine learning.
- Input(s): Data, content, or materials submitted by Customer into the AI Features (e.g., documents, media, queries, metadata).
- Output(s): Results produced by eduMe’s AI Features in response to Inputs (e.g., text, suggestions, transformed content, responses).
3. Ownership of Input & Output
- Customer retains ownership and other rights it has to the Inputs.
- As between the parties and to the maximum effect permitted by law, Customer owns all Outputs generated through use of the AI Features.
- eduMe assigns to Customer all rights, title, and interest eduMe may have in Outputs.
- eduMe will not intentionally provide the same Output to another customer, though due to the nature of AI technology, similar or overlapping Outputs may occur.
- eduMe engineers AI features in such a way as to minimise risk of outputs that could include third party rights, but ultimately cannot guarantee outputs to be free of such materials.
4. Use of Data
eduMe delivers AI features through a combination of our own infrastructure and code as well as third-party AI providers. Our AI features comply with the same security, privacy and data protection requirements as the rest of your data processing on eduMe. When we introduce new AI providers we validate that their terms of use and practices are compatible with the above.
- Service Operation: Inputs and Outputs may be processed only as necessary to deliver AI Features, ensure reliability, troubleshoot issues, prevent abuse, and improve the quality of eduMe services.
- No General Purpose Model Training: eduMe does not use Customer Inputs or Outputs to train or fine-tune general purpose machine learning models, nor does eduMe permit third-party providers to use Customer data for such purposes.
- Aggregated/Anonymous Use: eduMe may use aggregated and anonymised data derived from Customer Inputs and Outputs to improve its services, provided the data is structured such that it cannot reasonably re-identify Customer or its users.
- Retention: eduMe does not retain or reuse Inputs/Outputs beyond what is necessary to provide the Services, unless required for compliance, audit, or security purposes.
- Third-Party Providers: Where AI Features rely on third-party providers, Customer data is handled according to their terms, as listed at here and updated as our services evolve.
5. Warranties & Disclaimers
eduMe is committed to ensuring good quality and appropriateness of the Service, including AI features. In developing AI features, we consider risks for inaccuracies, bias and other undesirable outputs, and take reasonable steps to mitigate such outputs both in developing and delivering AI functionality. Due to the probabilistic nature of underlying AI technologies, we cannot guarantee our outputs to be fully defect free. Instead, end users are prompted to and should take responsibility for appropriately validating outputs before basing decisions on them.
- Outputs may contain inaccuracies, third-party material, or may not be fit for a specific purpose.
- eduMe does not warrant Outputs to be error-free, unique, or free of third-party rights.
- Customer warrants that it has the right to use the inputs provided.
- eduMe takes reasonable steps to mitigate risks of inaccuracies, bias, or inclusion of third-party material.
- Outputs are provided “as is” and may not be error-free or fit for every use. Customer remains responsible for validating Outputs before relying on them. Nothing in this section excludes eduMe’s liability for gross negligence or willful misconduct.
- The disclaimers and liability limits in the Agreement also apply to AI Features.
6. Restrictions on Use
Customer warrants(*) that it will not, and will not permit others to:
- Use AI Features, Inputs, or Outputs to infringe third-party rights.
- Customer will not misrepresent Outputs as being wholly human-authored or endorsed or vetted by eduMe.
- For use cases involving automated decision-making with legal or similarly significant effects, Customer must apply appropriate human oversight.
- Use AI Features for automated decision-making with legal or similarly significant effects without appropriate human review.
- Use AI to engage in harmful, discriminatory, unlawful, or unethical activity.
- Train or develop competing AI or ML models.
- Exceed agreed usage limits, including credits/MAU allocations.

7. Credits & MAU Model
- AI usage is governed by eduMe’s credit allocation system.
- Each Monthly Active User (MAU) includes a base allocation of 10 credits for AI Features. Additional credits may be purchased separately.
- AI Features may have different credit usage rates.
- Use of the Ask AI learner tool counts as one MAU.
- Credits reset monthly and are tied to contracted MAU volume.
- eduMe may adjust credit allocations for specific AI Features to ensure fair usage, with at least 30 days’ notice to Customer.
8. Third-Party Terms
eduMe may engage third-party providers to deliver AI Features. eduMe will remain responsible for their compliance with applicable data protection and security obligations. Where a provider requires acceptance of additional terms, eduMe will provide advance notice and work with Customer in good faith to address concerns.
